  • Biography

    Ines Baca has extensive experience in M&A, corporate law and finance. Among her professional experience we can highlight her work at the Legal Department for Corporate Finance and Capital Markets of Scotiabank, where she actively took part in syndicated loans, project finance, capital markets and securities issuance.

    Ines is the responsible partner for Diversity and Inclusion in our Lima office and is a member of the Latina America Diversity and Inclusion Committee.

She routinely advises a roster of high-profile clients on transactional mandates, with notable activity in the food and drink and manufacturing sectors.     Practice focus

    During her professional career, she has participated in several acquisition transactions or sale of companies, assets and shares participations in several sectors of the economy such as retail, fishery, financial system, and services sector, among others. Ines has also participated in financing of different types, both domestic and international.

    She frequently advise clients in the structure and execution of corporate reorganizations such as mergers, spin- offs, hive-downs and other complex structures.

  • Experience

    • Advised Parque Arauco, in its USD 120 million acquisition of the remaining 50% stake it didn't already own in Inmuebles Panamericana (IPSA), an entity it previously shared control of with Grupo Wiese. IPSA directly and indirectly owns and operates 11 shopping centres operating under the “MegaPlaza” brand in Lima and several of Peru’s provinces.
    • Advised Sensient Technologies Corporation, a leading global manufacturer and marketer of colours, flavours and fragrances, in its USD 10.5 million acquisition of GlobeNatural Colors S.A.C., a Peruvian natural colours company subsidiary of Globe Natural International S.A., following a corporate reorganization.
    • Advised Centenario in a hotel project joint venture with Grupo Agrisal (El Salvador). Centenario entered into a joint venture with Grupo Agrisal for the construction and operation of five hotels in Peru under the brand "Holiday Inn Express", that will be located in Lima, Piura and Arequipa. Also advised in the Shareholder Agreement between the parties, the Management Agreement between Grupo Censal S.A.C and Grupo Agrisal and in the execution and negotiation of the Franchise agreements entered into with Six Continents Hotels, Inc. for the to use the brand "Holiday Inn Express".
    • Advised Atton Hotels in its joint venture with Inverko S.A. for the construction and operation of a new hotel in Miraflores under the Atton brand.
    • Advise the shareholders of Graña Corredores de Seguros S.A. in the transfer of its equity interest to Aon.
    • Advised CFG Investment SAC in the hostile indirect acquisition of Corporacion Pesquera Inca S.A.C..
    • Advised the Brescia Group in a complex process of corporate reorganization with the objective of restructure efficiently their real estate business.
    • Advised Inversiones La Cruz S.R.L. in a corporate reorganization by means of the segregation of the assets and debts related to the pignoratic credits (secured) business in order to contribute them to a new incorporated entity (Edpyme Inversiones La Cruz S.A.) regulated by the Superintendence of Bank and Insurance.
