  • Biography

    Associate experienced in transactions related to corporate finance, including operations for financing, acquiring and selling both listed or private companies, assets, business reorganizations and deals related to distressed companies in various industries. She additionally focuses her practice on the planning and carrying out of strategies related to corporate insolvency, such as advising private and public entities as creditors or debtors in insolvency proceedings before the Peruvian Bankruptcy Authority ("INDECOPI" for its Spanish Acronym).

    She complements her expertise by representing companies in connection with shareholder disputes and sanctioning proceedings before the Peruvian regulatory commission (the Peruvian Superintendence of Securities Market ("SMV" for its Spanish Acronym) in the case of supervised corporations.

    Luciana joined us as an intern during law school and has been part of our Banking & Finance, Capital Markets, Corporate & M&A and Restructuring & Insolvency areas ever since. She graduated from the Universidad de Lima on the first place of her class and acquired the lawyer degree with an outstanding cum laude distinction.

  • Experience

    • Advised Sika AG, a leading Swiss specialty chemicals company, on the local aspects of the acquisition of 100% of MBCC Group, the former BASF Construction Chemicals, from an affiliate of Lone Star Funds, a global private equity firm, for consideration of EUR 5.2 billion.
    • Represented Banco Santander S.A. as Sole Lead Arranger, Sole Bookrunner and Lender, and other lenders in the acquisition finance operation in order to fund the purchase price for the acquisition of fifty (50%) percent of the equity interest in Trabajos Marítimos S.A. (Tramarsa) in 2023.
    • Advised Siemens Financial Services, Inc. in acquiring a participation in the USD 1.25 billion Credit Agreement to Lima Airport Partners S.R.L. dated December 22, 2022, to fund the Jorge Chávez International Airport expansion.
    • Represented Habitat Andina S.A. and Habitat América S.A. in the acquisition of EFIC Capital Asset Management Sociedad Administradora de Fondos  S.A.C., a mutual fund management company in Peru. The operation was approved by the Superintendencia del Mercado de Valores (SEC equivalent) on February, 2023.  
    • Advised IBT Group in the refinancing and incremental of a Loan granted by Macquarie Bank Limited and other parties to fund the provision of healthcare service with respect to Villa María del Triunfo S.A.C. and Callao Salud S.A.C. hospitals.
    • Advisory to Wood Group, one of the world’s leading consulting and engineering companies operating across Energy and Materials markets, in the spin-off operation of its Peruvian subsidiaries.
    • Spin-off process, including planning, structure design, implementation, and post-closing adjustment of Johnson & Johnson's separation of its Consumer Health Products division to create two market-leading companies in Perú. 
    • Represented Telefonica del Peru S.A.A. and its subsidiaries in connection with the sale of its 50.22% Class B shares through an operation in the Lima Stock Exchange for an amount of nearly PEN 3.5 billion. Moreover, advised Latin American Cellular Holdings S.L.U. in their offer to purchase the outstanding Class-B shares of such company held by minority investors through the Lima Stock Exchange.
    • Represented Nielsen Holdings plc in the sale of their consumer data and analysis business, Global Connect, for USD 2.7 billion to Advent, one of the most significant private equity funds worldwide.
    • Advised Agrobanco in a particularly complex insolvency proceeding of one of its main "non-retail" clients in which it held a claim of roughly USD 35 million and client had a decisive role in the Creditors' Meeting.
    • Represented Agrovision in obtaining a USD 210 million financing, consisting of a USD 180 million secured syndicated loan and a USD 30 million unsecured syndicated loan.  
    • Constant advisory to companies from different industries in insolvency proceedings: government entities (Agrobanco, Perupetro), mining, technology (SAP), gas (Naturgy), financial institutions (BTG, CAF), entertainment (Warner Bros), pharma (Merck), telecommunications, agroindustry.
