    Biography

    Luciana is an associate at our firm. She started as an intern at the firm as a law student and has been part of our Banking, Corporate and Financial Restructuring and Insolvency areas ever since.

    Luciana graduated from the Universidad de Lima on the first place of her class and acquired the lawyer degree with an outstanding cum laude distinction.

    Luciana is experienced in transactions related to corporate finance, including operations for financing, acquiring and selling listed or non-listed companies, assets and corporate restructuring.

    Her practice is focused on advising national and foreign companies in general corporate and contract matters, specifically in corporate maintenance and conflicts among shareholders.

    Luciana is further experienced in planning and carrying out different strategies related to corporate insolvency, advising companies in bankruptcy proceedings before the Peruvian National Institute for the Defense of Free Competition and the Protection of Intellectual Property ("INDECOPI" for its Spanish Acronym).

    Her experience also includes filing before first and second instance courts sanctioning proceedings brought up by the Peruvian Superintendence of Securities Market ("SMV" for its Spanish Acronym).

    • Luciana advised Telefónica del Perú S.A.A. in a transaction upon which Latin American Cellular Holdings S.L.U. acquired from Telefónica Latinamerican Holdings S.L. 50,22% of the class-B shares of Telefónica del Perú through the Lima Stock Exchange, thereby holding almost a 100% of the class-B shares of Telefónica del Perú. The total sum involved in the operation amounted to S/ 3,493,707,447.36. Moreover, she advised Latin American Celullar Holdings S.L.U. in their offer to purchase the outstanding class-B shares of Telefónica del Perú held by minority investors through the Lima Stock Exchange.
    • Luciana advised Nielsen Holdings plc in the sale of their consumer data and analysis business, Global Connect, for USD 2.7 billions in favor of Advent, one of the most significant private equity funds.
    • She further advised Darby Latin America Private Debt Fund III, L.P. in the funding provided to Abengoa Perú and its subsidiary Omega Perú Operación y Mantenimiento for working capital and debts repayment. The funding included placing a security interest on shares and bank accounts, as well as an assets trust.
