  • Biography

    Juan Francisco is a lawyer with solid knowledge and experience in Corporate Law, Mergers and Acquisitions, acquisition finance, Banking and Finance.

    Juan Francisco participates in various deals for the acquisition and sale of companies, assets and controlling interests, investment transactions and acquisition financing, as well as in corporate reorganizations under complex structures in various economic sectors. Furthermore, he advises national and foreign non-profit companies and legal entities in matters related to their corporate maintenance, business reorganizations, commercial contracts and other matters related to their operation.

    He reinforces his profile with experience in corporate succession planning, wealth management, corporate maintenance of national and foreign companies and non-profit organizations, International Technical Cooperation and Registry and Notarial Law.

  • Experience

    Juan Francisco has participated in multiple operations of varying complexity, including the following:

    • Advised Nord Anglia Education, private equity fund specialized in the education business that operates more than 75 schools, in the acquisition of Colegio Peruano Británico, one of the top private schools in the Peruvian market.
    • Advised a major foreign business group on the acquisition of a significant stake in an iconic restaurant chain operating in Peru and in several countries around the world.
    • Participated in advising the Chilean group Parque Arauco in the consolidation of 100% of the interests issued by the operating entities of eleven MegaPlaza shopping centers in Peru as well as titleholders of a series of greenfield commercial space projects).
    • Participated in the provision of legal advice on the Peruvian components linked to the acquisition by LVMH Moet Hennessy Louis Vuitton, world leader in luxury goods, of Belmond Ltd., leader in the operation of luxurious hotels around the world and owner and operator of 7 luxury hotels and railways in Peru. The deal value was USD 3,200 million.
    • Participated in advising the Peruvian components related to the acquisition by Altra Inversiones of Avla Seguros.
    • Participated in advising the Peruvian components linked to the acquisition by Stracon S.A. 60% of the interests in Dumas Holdings Inc., a leading mining services contractor with operations in Canada and Mexico.
    • Participated in advising Ashmore Group in the acquisition of a majority stake in Stracon GyM S.A. and in a joint investment with the minority shareholder for USD 20 million. The transaction involved the design of a complex structure, an acquisition finance operation and subsequent corporate reorganizations.
    • Participated in advising Inversiones Nacionales de Turismo S.A. - INTURSA in the acquisition of 99.97% of the outstanding shares of Inversiones La Rioja S.A., which owns the assets of the Marriott International Inc. hotel chain in Peru, for an amount of USD 218 million.
    • Participated in advising SERFI shareholders in the sale of 100% of its share capital to a subsidiary of Grupo Química Suiza.
    • Participated in the advice of the seller for the sale of a business unit through the sale of the assets of one of the main processors of meat products in the country.
    • Continuous advice to the main Universities of the country in aspects of the new University Law, adjustments and modifications of statutes, corporate maintenance and in general all legal aspects related to its operation and operation, depending on your legal type of legal entity.
