  • Biography

    Lawyer with more than 20 years of professional experience in the structuring, negotiation, execution, financing and local and international arbitrations, concessions and construction of complex infrastructures, and long-term large-scale projects in various countries in the LATAM region, and under mechanisms of APP/grants, contracts, construction, PMO, EPC, FIDIC, NEC, G2G, among others.

    She has significant experience in national (local) arbitrations in Peru and Colombia, as well as in international arbitrations in Washington D.C., Paris, Miami, among others, under UNCITRAL and CAIP rules, obtaining successful results.

    She has professional experience derived from direct work in important investment and execution companies of this type of projects in various countries of the LATAM region such as Peru, Colombia, Chile, Ecuador, Panama, Jamaica, among others, and from specialized legal consulting to them.

    Diana has a holistic view of the business and the industry infrastructure, accompanied by strong commercial and communication skills, multidisciplinary and multicultural team leadership, strategic thinking, critical thinking, results orientation, as well as proven technical, financial and economic expertise, characteristic of this kind of projects.

    She has been in charge of the legal and general management of transport infrastructure concession companies in both Colombia and Peru and has served as a member of the Board of Directors of different transport infrastructure concession companies.

    Practice focus

    In addition to her solid experience in the structuring and execution of transport concessions, Diana has an extensive and solid practice in the structuring and execution of construction contracts, EPC, O&M, interfaces, and trust contracts, among others. In the same way, she has successfully advised the structuring and execution of construction projects under FIDIC schemes in their various modalities (Red, Yellow, Silver), and under NEC schemes. She has also developed a successful experience representing her clients in national and international arbitrations, as well as in different dispute resolution mechanisms.

    She has advised multinational and international companies on acquisitions and sales of infrastructure projects, as well as participation in road construction, mass transportation, aviation, health, and hospital infrastructure projects, throughout Latin America.

  • Experience

    • Advisory and guidance to multiple private, institutional and multilateral investors in infrastructure projects in the structuring, negotiation, processing, underwriting, and execution of Contracts PPP/Concessions, construction, PMO, EPC, FIDIC, NEC, among others, in the matters of aviation, road, health, rail, mass transit and institutional (hospitals, schools, etc.) infrastructure in the LATAM region.
    • Representation of various concessionaire companies, construction companies, EPCs, PMOs, FIDIC and NEC Contractors, among the most relevant, in national and international arbitrations related to their respective Contracts. In charge of all contractual, technical and economic aspects of these disputes and of structuring and creating the strategy for defending the interests of our represented in these aspects.

    Legal and business counseling in the following:

    • Execution of contracts, contractual and regulatory management, relationship and negotiations with contractual counterparts, negotiation of agreements of various kinds (minutes of contractual execution, addenda, direct deals, land release, term extensions, recognition of cost overruns, etc.) in matters of airport, road, health, railway and mass transport infrastructure.
    • Design and execution of short, medium and long-term contractual strategies involving the legal, technical, financial and operational areas of these, aimed at efficient contractual execution and ensuring full compliance with contractual obligations and project profitability.
    • Structuring, negotiation and follow-up to the execution of construction subcontracts (EPC), Investment Banking, Financing, O&M, etc.
    • Negotiation and/or modification of financing contracts obtained under various mechanisms (syndicated loans, revolving loans, project finance, bond issuance), as well as in the negotiation and / or modification of trust agreements.
    • Procedures for initiating, negotiating and closing procedures for direct dealing with counterparties.
    • Solid and extensive corporate knowledge base that includes the negotiation and signing of pre-contractual corporate agreements such as memoranda of understanding, pre-contractual shareholder agreements, construction and/ or financing, and corporate management of concessionaire companies.
