  • Biography

    Alonso Miranda is a Partner with more than 15 years of experience in advising investment banks, corporate issuers and the Republic of Peru in both local and international capital markets transactions. He is ranked by Chambers & Partners in Band 1 for Capital Markets and Band 5 for Banking and Finance. He was named for Best Lawyers as "Lawyer of Year 2020 – Capital Markets Law" in the publication's 2020 Peru list.

    Over the last years, he has represented clients in public and private securities offerings, both locally and internationally, for more than USD 20,000 million, including securities offerings pursuant to Rule 144-A and Regulation S of the U.S. Securities Act for more than USD 15,000 million. He has also advised the Republic of Peru on its most recent international debt and liability management transactions for more than USD 6,000 million.

    Alonso is co-founder of ADV Editores, a not-for-profit entity in charge of the publication of the Advocatus Law Review. He has written a number of articles related to the Peruvian securities regulation published in the Official Gazette "El Peruano", journals, legal reviews and books. Alonso has been the Chair of the Legal Committee of Procapitales from 2013 through 2018 and is currently member of the Board of Procapitales.

    Practice focus

    Alonso's practice focuses on capital markets and liability management transactions, securitization and real estate investments. His experience includes complex financing transactions, public and private securities' offerings in both domestic and international markets, asset–backed transactions, and public tender offers.

    Alonso has extensive experience in structuring complex debt instruments and a sound knowledge on Peruvian securities regulation.

  • Experience

    • Represented the Republic of Peru on a sovereign bond offering for an aggregate principal amount of PEN 10,102,884,000 pursuant to Rule 144A and Regulation S of the U.S. Securities Act of 1933, which comprised (i) the offering of the Republic of Peru’s “5.350% Bonos Soberanos due 2040” for an aggregate principal amount of PEN 8,260,720,000, (ii) the reopening of its previously issued “5.400% Bonos Soberanos due 2034” for an aggregate principal amount of PEN 1,842,164,000 and (iii) a concurrently liability management exercise (Stand-alone Tender Offer y Switch Tender Offer) to repurchase for cash sovereign bonds and GDNs previously issued.
    • Represented Banco Internacional del Perú S.A.A. – INTERBANK in connection with the offering of its “3.250% Senior Notes due 2026” for an aggregate principal amount of USD 400 million, pursuant to Rule 144A and Regulation S of the U.S. Securities Act of 1933, and a concurrently liability management exercise (tender offer for cash) to purchase all its previously issued “5.750% Senior Notes due 2020”
    • Represented Consorcio Transmantaro S.A. in connection with the offering of its “4.700% Senior Notes due 2034” (green bonds) for an aggregate principal amount of USD 400 million, pursuant to Rule 144A and Regulation S of the U.S. Securities Act of 1933.
    • Represented the Republic of Peru in connection with the offering of its “5.94% Sovereign Notes due 2029” for an aggregate principal amount of PEN 10,350 million, incluing an aggregate principal amount of PEN 1,214 million in the form of Global Depositary Notes (GDN), pursuant to Rule 144A and Regulation S of the U.S. Securities Act of 1933.
    • Represented a banks syndicate in connection with a USD 90 million syndicated loan granted to Pesquera Hayduk S.A.
    • Represented Credicorp Capital Servicios Financieros S.A. (as arranger) in connection with the registration of the Gas Natural de Lima y Callao S.A. – Calidda’s USD 400 million bonds program in the Capital Markets Public Registry of the Peruvian Capital Markets Superintendency and the public offering of the first issuance under such program for an aggregate principal amount of PEN 200 million.
    • Represented Credicorp Capital Servicios Financieros S.A. (as arranger) in connection with the registration of the Protisa Peru S.A.’s PEN 500 million green bonds program in the Capital Markets Public Registry of the Peruvian Capital Markets Superintendency and the public offering of the first issuance under such program for an aggregate principal amount of PEN 325 million.
    • Represented Credicorp Capital Servicios Financieros S.A. (as arranger) and Banco de Credito del Peru (as lender) in connection with a USD 100 million credit facility granted to Unión Andina de Cementos S.A.A.
    • Represented Grupo Energia Bogota S.A. E.S.P. and Distrito Capital Bogotá in connection with a secondary offering of 73,807,653 shares issued by Grupo Energia Bogota S.A. E.S.P. for an aggregate amount of USD 650 million (i) in the U.S., directed exclusively to qualified institutional buyers (“QIBs”) and (ii) outside the U.S., directed to institutional investors pursuant to Regulation S of the U.S. Securities Act of 1933.
