Estudio Echecopar, member firm of Baker & McKenzie International advised IBM del Peru in the local implementation of the global segregation of IBM Corporation of its Infrastructure Management Services business. In Peru, it was implemented through a spin-off process whereby from IBM del Peru, it segregated and transferred an equity block made up of the assets and liabilities of that business line in favor of Kyndryl Peru.
The team that advised IBM del Peru included Inés Baca, lead partner; Zita Aguilera, partner; Fernando Sam, Laura Francia and Elizabeth Zamudio, senior associates; Katherine Zapata and Diego Becerra, associates. The tax team included Rolando Ramirez Gastón, partner; and Cristina de la Piedra, senior associate.
Kyndryl designs, runs and manages modern, efficient and reliable technology infrastructure. While IBM and Kyndryl will be independent entities, at launch they will both be each other’s biggest clients and remain as strategic partners. Kyndryl will continue to include IBM hardware and software among its offerings.
