Estudio Echecopar, member firm of Baker & McKenzie International, advised EDF Group (acting through EDF Perú S.A.C., “EDF”) and AC Capitales Infrastructure Fund II, L.P., AC Capitales Fondo Infraestructura II, and AC Capitales Fondo Infraestructura II GP (“ACC Funds”), jointly acting through Rimac Hydro S.A.C. (the “Purchaser”) in the acquisition of Hidroeléctrica Huanchor S.A.C. (“Huanchor”) from Volcan Compañía Minera S.A.A. ("Volcan"). The transaction was signed on June 14, 2024 and closed successfully on October 11, 2023, following the verification of certain customary conditions, including the merger control clearance from the National Institute for the Defense of Competition and the Protection of Intellectual Property (Indecopi), as well as the usual conditions and adjustments in this type of operations.
The firm also advised EDF in the negotiation of the agreements for its association with the ACC Funds, as new titleholders of Huanchor.
